This Contributor License Agreement (“Agreement”) is between the contributor (“You”) and Klutch Software Inc. (“We” or “Us”) and outlines the terms under which You may submit contributions to Us.
1. Grant of Copyright License
You hereby grant to Us and to recipients of software distributed by Us a perpetual, worldwide, non-exclusive, royalty-free, irrevocable license to use, reproduce, modify, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your contributions and such derivative works.
2. Grant of Patent License
You also grant Us a perpetual, worldwide, non-exclusive, royalty-free, irrevocable (except as stated in this section) patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the contribution, in whole or in part.
3. Originality of Work
You confirm that:
- Your contribution is original work or that You have the right to submit it.
- You have the authority to grant the licenses described in this Agreement.
- You are not violating any third-party rights in submitting the contribution.
4. No Obligation to Use
We are under no obligation to accept or use any contributions You submit.
